GENERAL TERMS OF USE FOR YUKIO

1. ACCEPTANCE OF TERMS

These General Terms of Use for Yukio along with the Privacy Policy, Cookie Policy and any other additional policies  (“Terms”) constitute a binding and enforceable legal contract between First Livingspaces Private Limited (formerly known as ‘TCG Livingspaces Private  Limited’) (“Company”), having its registered office at Bengal Intelligent Park, Building Delta, 2^nd Floor, Block EP&GP, Sector V, Salt Lake Electronics Complex, Kolkata 700091, West Bengal, India (“Company”, “we”, “us” or “our”) and you, a user of Yukio (“you”, “your” or “user” or “Customer”).

The Terms govern the use of the website https://www.yukio.in/, its mobile application by the name ‘YUKIO’ or any mobile site, applications for iOS, Android, Windows operating system and/or any software application which is/are owned and operated by the Company (hereinafter referred to as “Yukio”) (collectively referred to as “Platform”), which enables you to connect with us.

The Company owns and operates Yukio as a technology platform to facilitate the offerings of VH Township Private Limited ("VHTPL"), having its registered office at TCG Financial Centre,11^th &12^th  Floor, Plot No C-53 G Block, Bandra Kurla Complex, Bandra East , Mumbai, Maharashtra-400098, and Megatron Complex Private Limited ("Megatron"), having its registered office at 9B, Wood Street 4^th Floor Park, Street, Kolkata, West Bengal-700016, in accordance with an arrangement between the Company, Megatron, and VHTPL.

“Offering” shall refer to the provision of the accommodation within premises owned and/or controlled by VHTPL and/or Megatron (“Yukio Premises”) and the delivery of various other services, offered, maintained and/or managed by VHTPL and/or Megatron.

By downloading, accessing, or using Yukio and clicking "I agree" or "I accept," you confirm that you have read, understood, and agree to be legally bound by these Terms, as updated from time to time. You further represent and warrant that you possess the legal capacity and authority to enter into this agreement and comply with the obligations outlined herein. If you do not agree to these Terms or cannot fulfil the obligations stated, please refrain from accessing or using Yukio.

You confirm that you are of legal age as defined under applicable Indian laws, are competent to enter into a contract under the provisions of the Indian Contract Act, 1872, and possess the necessary authority to accept these Terms.

2. We reserve the right, at our sole discretion, to modify or replace these Terms, or to alter, suspend, or discontinue the Platform (including, but not limited to, the availability of any feature, database, or content) at any time. Such changes may be communicated to you through a notice posted on the Platform, an email, or other suitable electronic communication methods. Additionally, we may impose limits on certain features and services or restrict access to parts or all of the Platform without prior notice or liability. While we will endeavour to notify you of any significant modifications in a timely manner, it is your responsibility to periodically review these Terms for updates. Your continued use of the Platform following any such modifications shall be deemed your acceptance of the revised Terms.
3. ADDITIONAL POLICIES

By accessing and using Yukio, you agree to comply with these Terms, along with all applicable rules, regulations, guidelines, restrictions, limitations, and policies (“Additional Policies”) that may be established and published by the Company, VHTPL, and/or Megatron from time to time. You acknowledge that any failure to adhere to these Terms, including the Additional Policies, may result in the termination of your account by Yukio at its sole discretion, without prior notice, and could lead to legal action and/or claims for damages.

4. ACCOUNT CREATION AND CONDITIONS TO USE YUKIO

• To use Yukio, you will be required to create an account. For this account, you may be required to furnish certain details and documents, including but not limited to your phone number, name, valid government issued identification number, operational address, permanent address and any other demographic or psychographic details. While registering, if you provide false, inaccurate, outdated or incomplete information, or if there are reasonable grounds to suspect the accuracy or completeness of the information provided, we reserve the right to suspend or terminate your account and deny current or future use of Yukio (or any features/parts thereof).
• To create an account, you must be at least eighteen (18) years of age.
• The Company shall verify the account by requesting for the one-time password from the user.
• The user agrees and undertakes that each mobile number shall be associated with only one account, ensuring that each account is linked to a unique number. If you have been previously registered, you are required to login/ sign into your account using the credentials provided to you during the registration process.
• You warrant that all information furnished in connection with your account is and shall remain accurate and true. You agree to promptly update your details on Yukio in the event of any change to or modification of this information.
• You are solely responsible for maintaining the security and confidentiality of your own account and agree to immediately notify us of any disclosure or unauthorised use of your account or any other breach of security with respect to your account.
• You are liable and accountable for all activities that take place through your account, including activities performed by persons other than you. We shall not be held liable for any unauthorised access to your account.
• You agree to receive communications from us regarding (i) requests for payments, (ii) information about Yukio, (iii) promotional offers from us and our third-party partners, and (iv) any other matter in relation to Yukio or Offering.
• We may use a combination of automated systems, user reports and a team of moderators to monitor and review accounts and content to identify breaches of these Terms. We reserve the right at our sole discretion to terminate or suspend any Account, restrict access to the App, or make use of any operational, technological, legal or other means available to enforce the Terms (including without limitation blocking specific IP addresses).

5. We, VHTPL, or Megatron reserve the right to conduct, and you hereby authorize us, VHTPL, and Megatron to conduct any background checks or other screenings at any time. You agree that any information you provide may be used for this purpose and consent to the use of third-party services for conducting such screenings, if necessary. In the event that we or VHTPL opt to utilize a third-party service provider for background screening, you expressly authorize the third-party service provider to access and use the information you have provided to us, VHTPL, or Megatron, or directly to the third-party provider, for the purpose of conducting the background screening. You further authorize us to obtain and use the background screening report to assess your eligibility to use Yukio or avail the Offering under these Terms.
6. TYPES OF CONTENT

There are three types of content that you will be able to access on Yukio:

1. content that you upload and provide (“User Content”);
2. content that other users of Yukio provide (“Member Content”); and
3. content that we provide (including, without limitation, database(s) and/or software) (“Our Content”).
4. USER CONTENT

• For the purposes of these Terms, "User Content" refers to any data, information, text, images, videos, audio, software, files, or other content, whether publicly or privately posted, uploaded, shared, transmitted, or made available by you through Yukio, including but not limited to any content you post, submit, or otherwise contribute in any manner to Yukio, such as comments, reviews, suggestions, communications, or media. User Content also includes any materials you create or upload using features or services provided by Yukio, regardless of format or medium. By submitting or posting User Content, you represent and warrant that you own or control all necessary rights, titles, and interests in and to the content, and that your User Content does not infringe on the intellectual property or privacy rights of any third party. You also grant the Company, VHTPL, Megatron, and their affiliates a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, distribute, modify, publicly display, perform, and create derivative works of your User Content solely in connection with the operation, promotion, and enhancement of Yukio and Offering. You further acknowledge that you are solely responsible for any User Content you upload, and that the Company, VHTPL, or Megatron may, at their discretion, remove or disable access to any User Content that violates these Terms or is deemed inappropriate.
• To ensure the effective provision of services and maintain quality control, we may periodically request reviews or feedback from you regarding our facilities, services, and overall user experience. You agree not to knowingly provide false, inaccurate, or misleading information in any review or feedback submitted. All reviews and feedback will be utilized by us for quality control purposes, as well as for the assessment of user suitability for the use of Yukio. If we, in our sole discretion, determine that you are not an appropriate or suitable user of Yukio, we reserve the right to cancel your registration, revoke your access to Yukio, and take any further actions deemed necessary, without any liability. You hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, and royalty-free license to: (i) copy, use, publish, display, store, host, transfer, process, communicate, distribute, make available, modify, adapt, translate, and create derivative works of the User Content, solely for the operation, enhancement, and provision of services under these Terms; and (ii) use the User Content for the limited purposes of advertising, marketing, and promoting the services, or for furnishing evidence before any court, tribunal, or other authority of competent jurisdiction, as required under applicable laws. You acknowledge and agree that, notwithstanding the provisions of Section 30A of the Indian Copyright Act, 1957, this license shall remain valid and enforceable and shall not lapse, nor shall the rights granted therein revert to you, even if we do not exercise any rights under this license within one year from the date it was granted. You further waive any right to object to, or raise any claims regarding, the exercise of these rights, including the use of the User Content as specified herein.
• We may assign and/or sub-license the above license to our affiliates and successors without any further approval by you.
• You agree that User Content may be viewed by other users and any person visiting, participating in or who receive the link to use or access Yukio.
• In connection with these Terms and the licences granted under this clause, you hereby waive any claims arising out of any moral rights or other similar rights relating to the User Content.
• You agree and acknowledge that we may, without notice to you, remove, or otherwise restrict access to User Content that, in its sole discretion, violates these Terms and we will not be liable or responsible for the same.
• We shall not be responsible for the accuracy, quality, integrity, legality, reliability, appropriateness and intellectual property rights of and/or in relation to the User Content.
• You also hereby irrevocably and unequivocally authorize us to utilize User Content and any other information provided by you for the purposes including those set out below:
• disclose such information to our directors, officers, employees, advisors, auditors, counsel, or its authorized representatives on a need-to-know basis for provision of the offering;
• contacting a third-party service provider and/ or facilitating/ enabling the services of a third-party service provider for you pursuant to the arrangement between us and such third-party service provider.
• conducting internal studies, consumer research, surveys, internal quality and preparing reports in connection with Yukio.

 

8. MEMBER CONTENT

• Other users may upload and contribute content, including personal information, in order to utilize and access the services provided on Yukio (“Member Content”). Member Content remains the exclusive property of the user who uploads it and is stored on our servers. Such content will be displayed within Yukio in accordance with the instructions or preferences set by the user submitting the Member Content. You are permitted to utilize Member Content only to the extent aligned with Yukio 's purpose for facilitating acquaintance prior to your stay at Yukio's Premises or availing Offering. Using Member content for commercial purposes, spamming, harassing, stalking, or making unlawful threats is strictly prohibited. We retain the right to terminate your Account if you misuse other users' information or Member Content.

9. NO REQUIREMENT TO PREVIEW CONTENT

We do not have control over the actions or statements made by our users. Therefore, you are solely responsible for your interactions with other users of Yukio. Although we're not required to screen Your Content or Member Content in advance, there may be situations where we must take action to safeguard our members. Hence, we retain the right to examine, screen, reject, or delete any Member Content or Your Content, including content exchanged privately between users, as outlined in these Terms.

10. OUR CONTENT/ OUR INTELLECTUAL PROPERTY

• All rights, titles, and interest in Yukio (including the facilities provided therein), are owned by or otherwise licensed to us. Subject to compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable, and limited licence to use Yukio (including the facilities provided therein) in accordance with these Terms and our written instructions issued from time to time. Any rights not expressly granted herein are reserved by the Company.
• We may request you to submit suggestions and other feedback, including bug reports relating to Yukio from time to time (“Feedback”). We may freely use, copy, disclose, publish, display, distribute, and exploit the feedback we receive from you without any payment of royalty, acknowledgement, prior consent, or any other form of restriction arising out of your intellectual property rights.
• Except as expressly stated in these Terms, nothing in these Terms should be construed as conferring any right on, or licence to, our or any third party’s intellectual property rights.
• Yukio is proprietary software developed and made available exclusively. All content on Yukio, which is including, but not limited to, names, logos, trademarks, images, text, columns, graphics, graphs, illustrations, artwork, software, designs, information, button icons, and any other content are the exclusive and sole property of the Company. The unauthorised copying, modification, use or publication of the proprietary information is strictly prohibited.

 All content on the platform, including but not limited to text, graphics, images, and other materials, is the exclusive property of the Company or its licensors, except for third-party content and links to third-party applications or websites. The systematic retrieval of the Company’s content to create or compile, directly or indirectly, a collection, compilation, database, or directory (whether through automated tools such as robots, spiders, or other devices, or via manual processes) without the prior written consent of the Company is strictly prohibited. Furthermore, any use of the Company’s content for purposes not expressly authorized by the Company in these Terms is prohibited and may result in legal action.

11. CONSENT TO USE YOUR DATA

• You agree that we may, in accordance with our Privacy Policy, collect and use your personal data. The Privacy Policy explains the categories of personal data that we collect or otherwise process about you and the way we process such data.
• In addition to any consent that you may provide pursuant to the Privacy Policy, you hereby consent to us sharing your information with our affiliates or other Third-Party Service providers. We may use information and data pertaining to your use of Yukio for provision of Offering, analytics, trend identification, and purposes of statistics to further enhance the effectiveness and efficiency of Yukio, and provision of beneficial schemes, new offers, for experience enhancement and any other specific purposes in accordance with the terms of the Privacy Policy.
• Subject to the applicable laws, we may be directed by law enforcement agencies or the Government and/or related bodies to disclose data in relation to you in connection with criminal or civil proceedings. You understand and agree that in such instances we shall have the right to share such data with the said agencies and/or bodies.
• In the course of providing services, we reserve the right to migrate data as necessary. It is hereby acknowledged and agreed that such migration may occur without the need for explicit consent, or as necessary, in accordance with the Privacy Policy, Cookie Policy, these Terms and applicable laws.

12. YOUR RESPONSIBILITIES

• You represent and warrant that all information that you provide in relation to the services and/or on Yukio is complete, true, and correct on the date of agreeing to these Terms and shall continue to be complete, true, and correct while you avail the services and/or use Yukio. Should any information that you provide change during the existence of these Terms, you agree to immediately bringing such change to our notice. We do not accept any responsibility or liability for any loss or damage that you may suffer or incur if any information, documentation, material, or data, provided to avail the services is incorrect, incomplete, inaccurate, or misleading or if you fail to disclose any material fact.
• You shall extend all cooperation to us in our defence of any proceedings that may be initiated against us due to a breach of your obligations or covenants under these Terms.
• In respect of the User Content, you represent and warrant that:

1. you own all intellectual property rights (or have obtained all necessary permissions) to provide User Content and to grant the licences under these Terms;
2. you are solely responsible for all activities that occur on or through your account on Yukio and User Content.

• the User Content does not and shall not violate any of your obligations or responsibilities under any agreements you are party to.

1. you must not impersonate any person.
2. the User Content does not and shall not violate, infringe, or misappropriate any intellectual property right or other proprietary right, including the right of patent, trademark, copyright, other proprietary rights or publicity or privacy of any person or entity.
3. the User Content does not and shall not contain any viruses, corrupted data, or other harmful, disruptive, or destructive files or content.

• the User Content does not and shall not violate any third-party rights.
• the User Content does not belong to any other person to which you do not have any right.

1. the User Content does not threaten the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, public order, cause incitement to the commission of any cognisable offence, prevents investigation of any offence, or is insulting another nation.
2. the User Content is not defamatory, grossly harmful, blasphemous, paedophilic, invasive of another’s privacy including bodily privacy, insulting or harassing or discriminatory based on gender, racially or ethnically objectionable, disparaging, relating to, or encouraging money laundering or gambling, or an online game that causes user harm, libellous, hateful, racist, violent, obscene, pornographic, unlawful, promoting enmity between different groups on the grounds of religion or caste with the intent to incite violence, harmful to children, otherwise offensive, objectionable, or restricts, or inhibits, any other person from using or enjoying Yukio.
3. the User Content must not be an online game that is not verified as a permissible online game.

• the User Content must not an advertisement or surrogate advertisement or promotion of an online game that is not a permissible online game, or of any online gaming intermediary offering such an online game.
• you must not deceive or mislead the addressee about the origin of the message or knowingly and intentionally communicate any misinformation or information which is patently false and untrue or misleading in nature.
• You shall not use Yukio in any manner except as expressly permitted in these Terms. Without limiting the generality of the preceding sentence, you shall not:

1. upload, post or otherwise make available any content on Yukio which would infringe any proprietary rights, including but not limited to copyrights, patents, trademarks, or trade secrets of any party.
2. except as may be provided hereunder, copy, display, distribute, modify, publish, reproduce, store, transmit, post, translate, modify or create any derivative works from Yukio.

• use Yukio to transmit any data, or send or upload any material that contains viruses, trojan horses, worms, timebombs, keystroke loggers, spyware, adware, or any other harmful programmes, or similar computer code, designed to adversely affect the operation of any computer software or hardware.

1. use any robot, spider, other automated device, or manual process to monitor or copy Yukio or any portion thereof.
2. engage in the systematic retrieval of content from Yukio to create or compile, directly or indirectly, a collection, compilation, database, or directory.
3. use Yukio in any unlawful manner, for fraudulent or malicious activities or in any manner inconsistent with these Terms.

• decompile, decipher, reverse engineer, or disassemble the services or otherwise decrypt Yukio or the facilities provided therein.
• link to, mirror, or frame, any portion of all or any of Yukio or the facilities provided therein; or

1. violate applicable laws in any manner.

• You warrant that you shall not engage in any activity that interferes with or disrupts Yukio or the facilities provided therein.
• You shall not attempt to gain unauthorised access to any portion or feature of Yukio, any other systems or networks connected to Yukio, to any of our servers, or through Yukio by hacking, password mining, or any other illegitimate means.

13. THIRD PARTY SERVICES

• Yukio may include services, content, documents, and information owned by, licensed to, or otherwise made available by, a third party (“Third-Party Platform”) and contain links to Third-Party Platform. You understand and acknowledge that Third-Party Platform is the sole responsibility of the third party that created or provided it and that use of such Third-Party Platform is solely at your own risk and the Company shall not be liable or responsible for any such Third Party Platform. Nothing contained herein shall constitute or be deemed to constitute an agency or partnership or association of persons for and on behalf of the Company or any third-party service provider. The arrangement specified in this clause is strictly executed on principal-to-principal basis and each concerned person shall be bound for their distinct responsibilities, rights, liabilities and obligations in accordance with the relevant bilateral agreement between such persons.
• We make no representations and exclude all warranties and liabilities arising out of or pertaining to such third-party services, including their accuracy or completeness. Should you avail a third-party service, you shall be governed and bound by the terms and conditions and privacy policy of the third parties providing such services. You acknowledge that the liability for the third-party services along with all costs and expenses that may be incurred thereunder shall vest entirely with the third-party service provider and shall be governed by the terms agreed separately by the Third-Party Service provider and you. Further, all intellectual property rights in and to third-party services are the property of the respective third parties.

14. ARTIFICIAL INTELLIGENCE

If you use any AI or machine learning features and functionality provided while using Yukio (collectively “Artificial Intelligence”), you agree to:

• implement appropriate human oversight and safeguards to mitigate potential risks associated with your use of Artificial Intelligence.
• remain responsible for all decisions made, advice given, actions taken, and failures to take action based on your use of Artificial Intelligence.
• provide information about your intended use of Artificial Intelligence and compliance with the terms upon request.
• ensure compliance with any advisory, direction, regulation, rule, law or direction issued by the government from time to time in relation to Artificial Intelligence; and
• evaluate Artificial Intelligence outputs for accuracy and appropriateness considering the probabilistic nature of Artificial Intelligence and potential for producing inaccurate content.

15. ORDER, CANCELLATION, PAYMENT, AND REFUND POLICY

• The terms of Offering shall be governed by a service agreement which may be entered between you, VHTPL and/or Megatron.
• The detailed terms including order, cancellation, payment and refund shall be governed by the above-mentioned services agreement and/or additional policies.
• The Company/VHTPL may generate a payment link for the Customer to pay the fees online. The Customer shall complete the payment using the provided link and share the payment details with the Company/VHTPL, including the reference number, date, and amount paid.
• Payments made by the Customer are non-reversible and non-refundable, except in cases where the order is cancelled due to reasons mutually agreed upon by the Company/VHTPL and the Customer.
• In case the payment is debited but the order confirmation notification is not received, the debited amount will be refunded to the Customer. The refund may take five to seven working days to reflect in the Customer’s account, depending on the bank and the payment method used.
• In case of order cancellation refund will be credited to Customer account in 5-7 working days.

16. TERM AND TERMINATION

• These terms shall remain in effect unless terminated in accordance with the Terms hereunder.
• We may restrict, deactivate, or terminate your access to, or use of, the services or Platform, or any portion thereof, (i) immediately and at any point at our sole discretion if you violate or breach any of the obligations, responsibilities, or covenants under these Terms or when you cease to become a user of Yukio, you do not, or are likely not to qualify under applicable law, or the standards and policies of the Company or its affiliates, to access and use Yukio, or violate or breach the community guidelines, (ii) upon 30 (thirty) days’ prior written notice to you, or (iii) immediately for any legitimate business, legal, or regulatory reason.
• Since your usage of the Platform is linked to the duration of your stay in Yukio Premises, your usage of the Platform shall be terminated when your stay in Yukio Premises is terminated and/or expires.
• Upon termination of these terms: the account will expire; the services will “time-out”; and these Terms shall terminate, except for those clauses that are expressly, or by implication, intended to survive termination or expiry.
• DISCLAIMERS AND WARRANTIES
• The services are provided on an “as is” basis without warranty of any kind, express, implied, statutory or otherwise, including without limitation to the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose except as provided herein. Without limiting the foregoing, we make no warranty that the facilities provided on Yukio will meet your requirements or expectations.
• No advice or information, whether oral or written, obtained by you from us shall create any warranty that is not expressly stated in the Terms.
• The Company expressly disclaims any liability or responsibility whatsoever and howsoever arising because of any content on Yukio or any third party or any deficiency in service that is caused to the user due to a third-party service provider.
• The Company does not warrant the services or results obtained from the use or that the services will meet the user’s expectations or requirements or that Yukio will be uninterrupted or free from any technical error.
• The Company shall not be held liable for any damage or injury caused due to performance, failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, link failure, site crash, malfunctioning or software/ hardware, unavailability of network, communications line failure, theft or destruction or unauthorized access to, alteration of, or use of information, whether resulting in whole or in part from negligence or otherwise.
• The Company is not responsible, and shall not be held liable, for: (a) any consequences resulting out of the misuse of any kind by you of Yukio, in a manner that causes any harm or injury to a third-party; and (b) any loss that you may incur as a result of a third party using your account, either with or without your knowledge.
• INDEMNITY

You shall indemnify, defend at our option, and hold us, our parent companies, subsidiaries, affiliates, and our officers, employees, directors, agents, and representatives, harmless from and against any claim, demand, lawsuits, judicial proceeding, losses, liabilities, damages, and costs (including, without limitation, all damages, liabilities, settlements, and attorneys’ fees), due to or arising out of your access to Yukio, and use or misuse of Yukio, violation of these Terms, or any violation of these Terms by any third party who may use your account or third party claims arising from an infringement or alleged infringement of such third party’s intellectual property.

• LIMITATION OF LIABILITY
• To the maximum extent permitted by applicable law, in no event shall the Company, nor its directors, employees, agents, representatives, partners, suppliers or content providers, be liable (i) under contract, tort, strict liability, negligence or any other legal or equitable theory or otherwise (and whether or not the Company, its directors, employees, agents, representatives, partners, suppliers or content providers had prior knowledge of the circumstances giving rise to such loss or damage) with respect to Yukio, service, or User Content for the use or the inability to use Yukio and /or service; (ii) direct, indirect, remote or consequential losses or damages; loss of actual or anticipated profits; loss of revenue; loss of goodwill; unauthorized access to or alteration of your transmissions or loss of data; any other matter relating to Yukio and / or service.

 

• JURISDICTION, GOVERNING LAWS AND DISPUTE RESOLUTION
• These Terms shall be governed by and construed and enforced in accordance with the laws of India. Subject to other provisions in this clause, courts in Mumbai, Maharashtra, India, shall have exclusive jurisdiction over all issues arising out of these Terms or the use of Yukio.

 

 Any controversies, conflicts, disputes, or differences arising out of or in connection with these Terms shall be resolved by arbitration in Mumbai in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time, which is deemed to be incorporated by reference in this clause. The arbitration shall be conducted by a tribunal consisting of one (1) arbitrator, mutually appointed by the parties. In the event that the parties are unable to agree on the appointment of a sole arbitrator within thirty (30) days from the notice of dispute, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996, by the relevant arbitral institution or authority. The language of the arbitration shall be English. The parties agree to maintain the confidentiality of the arbitration proceedings and not disclose any details to any third party, except on a need-to-know basis or to legal advisors, unless required by law. The decision of the arbitrator shall be final and binding on all parties. Each party shall bear its own costs in relation to the arbitration.

• GRIEVANCE REDRESSAL

• MISCELLANEOUS PROVISIONS
• Modification: We reserve the right at any time to add, modify, or discontinue, temporarily or permanently, the services / facilities (or any part thereof) of Yukio, with or without cause. We shall not be liable for any such addition, modification, suspension, or discontinuation on Yukio.
• Severability: If any provision of these Terms is determined by any court or other competent authority to be unlawful or unenforceable, the other provisions of these Terms will continue to be in effect. If any unlawful or unenforceable provision would be lawful or enforceable if a part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect (unless that would contradict the clear intention of the clause, in which case the entirety of the relevant provision will be deemed to be deleted).
• Assignment: You shall not license, sell, transfer, or assign your rights, obligations, or covenants under these Terms, or your account in any manner without our prior written consent. We may grant or withhold this consent at our sole discretion, subject to any conditions we deem appropriate. We may assign our rights to any of our affiliates, subsidiaries, or parent companies, any successor in interest of any business associated with the services, or any third party without any prior notice to you.
• Notices: All notices, requests, demands, and determinations for us under these Terms (other than routine operational communications) shall be sent to fls@tcgre.com
• Third-party rights: No third party shall have any rights to enforce any terms contained herein.
• Force Majeure: We shall have no liability if we are prevented from or delayed in performing our obligations, or from carrying on our business, by acts, events, omissions, or accidents beyond our reasonable control, including without limitation to, strikes, failure of a utility service or telecommunications network, act of God, war, riot, civil commotion, malicious damage, pandemic, epidemic or compliance with any law or governmental order, rule, regulation, or direction.

23. Use of Artificial Intelligence and Disclaimer of Liability: The Company may utilize Artificial Intelligence ("AI") in the provision of services and offerings under these Terms, including but not limited to automating processes, analysing data, and providing personalized recommendations or content. While the Company will make all reasonable efforts to ensure the accuracy, reliability, and effectiveness of the AI systems, the Company does not guarantee the accuracy, completeness, or reliability of any results or outcomes derived from the use of AI. The AI is intended to assist in delivering services and offerings but may not always reflect real-time changes, human nuances, or other factors that could influence outcomes. You acknowledge and agree that any reliance on the AI-driven services is at your own risk. The Company shall not be held liable for any inaccuracies, errors, or omissions in the AI’s outputs, nor for any losses, damages, or consequences arising from the use of AI-based services, even if the Company has made reasonable efforts to safeguard and maintain the accuracy of such services. The Company’s liability for any inaccuracies in AI-generated results is expressly disclaimed to the fullest extent permitted by law.

 

YUKIO: General Referral Program (“Program”)

20th March 2025*

*These Terms and Conditions shall supersede earlier issued terms and conditions in this regard.

 

1. Program & Its Objective

 

The Yukio General Referral Program allows individuals to generate a unique code, referred to as the ‘Referral Code’, by visiting the Yukio website or Application. If any Referee uses this Referral Code while subscribing to or availing of Yukio's services, the Referrer will be eligible to receive a reward or incentive as outlined in the program's terms and conditions.

The objective of this Program is to increase the user base through referrals and incentivize existing users to invite new users.

 

2. Definitions

 

a)   Company: VH Township Private Limited (‘VHTPL’).

b)   Yukio: Refers to the application and services being provided through the said application.

c)   Participant: Refers to either the Referrer or the Referee involved in the referral process.

d)   Referee: The new user who receives the referral code or link and completes the sign-up/registration process to avail Yukio services.

e)   Yukio services: This means availing accommodation services of/through Yukio.

f)   Referrer: Any person (individual) who agrees to participate in the Yukio referral program and has taken necessary actions to invite others to use Yukio services by generating and sharing a unique Referral Code.

g)   Successful referral: A referral is considered successful when the referred individual (“referee”) completes the payment of the first month's rent and the security deposit for availing Yukio services for a minimum period of three (3) months.

h)   Referral Code: A unique identifier that Yukio website or app provides to its users, allowing them to recommend products or services to others, in such a manner that when someone uses the referral code to sign up or avail Yukio services, the Referrer shall receive rewards in the form of vouchers to be decided and provided by VHTPL.

i)   Member: An individual who has signed up to avail Yukio services.

j)   Non-member: Anybody other than the Member.

 

3. Eligibility

 

This Program is open to any individual, whether a member or non-member, who is at least eighteen (18) years of age, resides in India, and is eligible to enter a valid contract under the Indian Contract Act, 1872, and who meets the criteria set forth by the Company.

 

4. How to Refer

 

a)   A Member may generate a Referral Code by following the prescribed process on the Yukio website or application (app).

b)   A Non-member may generate a Referral Code by following the prescribed process on the Yukio website.

c)   The Participant may share the Referral Code with anyone who may be a potential customer of Yukio.

d)   Once the Referrer shares their referral code with the Referee, the Referee may apply it on the Yukio website or application to receive rewards.

e)   There is no limit to the number of Referrals by any Participant.

f)   If a Referee referred by a Referrer does not result in a Successful referral within three months, their details will be removed from the referral scheme. Any subsequent conversion beyond this period will not qualify for rewards.

 

5. Reward

 

a)   For Members: As a reward, Referrers who are Members will receive a voucher of Rupees Five Thousand (₹ 5,000) which will be given on successful referral of an individual who completes the required actions and avails Yukio’s services. This voucher will be issued within thirty (30) days after the Referee avails of Yukio’s services.

b)   For Non-members: Non-members who refer potential residents will receive a gift voucher of Rupees Five Thousand (₹ 5,000) from the Company for each successful referral who completes the required actions and avails Yukio’s services. The gift voucher will be issued within thirty (30) days after the referred individual moves in to avail the Yukio services. The gift voucher is subject to the terms and conditions of the issuing entity and may have expiration dates.

c)   Referral Cap: A Referrer will be eligible to receive rewards only for up to twenty (20) successful referrals. The maximum reward a Referrer can earn under this Program is capped at Rupees One Lakh (₹ 1,00,000). Any successful referrals beyond this limit will not be eligible for additional rewards.

 

6. Prohibited Activities

 

a)   Participants shall not engage in fraudulent or deceptive practices, including but not limited to spamming, fake referrals, or using multiple accounts.

b)   Any violation of these Terms may result in disqualification from the Program and forfeiture of rewards.

 

7. Liability Disclaimer

 

The Company shall not be liable for any technical issues, disruptions, or unauthorized human intervention that may affect the Program or the issuance of rewards.

 

8. Modification and Termination

 

The Company reserves the right to modify the Terms or terminate the Program at any time without prior notice. Any changes to the Terms and Conditions will be communicated to participants via email or through the Yukio’s website/Application.

 

9. Duration

 

The Program will commence on 19 th March 2025 and will remain in effect until such time as may be decided by the Company at its sole discretion. Any referrals made after the Program’s end date will not be eligible for rewards.

 

10. Compliance with Applicable Laws

 

The Participants agree to comply with all applicable laws, regulations, and statutory requirements in India. Any violation of legal provisions may result in disqualification from the Program and forfeiture of any earned rewards. The Company reserves the right to take necessary legal action in the event of non- compliance.

 

11. Data Privacy

 

a)   By participating in the Program, Participants consent to the collection, processing, and storage of their personal data (e.g., name, contact details, referral activity) for the purpose of administering the Program.

b)   Data collected will be handled in accordance with the Company’s Privacy Policy (available on Yukio’s website) and applicable data protection laws.

c)   Participants shall obtain explicit consent from Referees before sharing their personal data with the Company for referral purposes.

d)   The Company will not sell or disclose Participants’ data to third parties without consent, except as required by law or to fulfil Program obligations.

 

12. Program Terms and Conditions

 

a)   The Program is subject to Yukio’s Terms of Service, and all participants must comply with the Program Terms, as well as any other applicable policies or guidelines set forth by Yukio on its website/application.

b)   Fraudulent activities or misuse of the Program may result in disqualification from the Program and forfeiture of any earned rewards.

c)   Participation in the Program is purely voluntary and there is no participation fee to participate in the Program.

d)   Participation in this Program implies acceptance of all the Terms of the Program mentioned herein by the Participant. The Participant must agree to abide by the Terms in their entirety. If the Participant does not agree to any of the Terms mentioned herein, then the Participant should not participate in this Program.

e)   The Company shall not be responsible or liable to anybody for any change in Terms or cancellation of the Program in part or as a whole or delay in execution of the Program due to any statutory provision/order/circular/notification issued by any statutory/judicial/quasi-judicial authority.

f)   The Company shall have the sole and absolute right to extend the Program for any period beyond the duration of the Program at its sole discretion.

 

13. Dispute Resolution

 

a)   Any disputes arising from the Program shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra, India.

b)   Participants agree to attempt amicable resolution through mediation before pursuing legal action.
